Terms of Service

Moxy is operated by Spark Development SRL, a company organized under the laws of Romania ("we", "us", "our"). These Terms of Service govern access to and use of the Moxy marketing website, the Moxy web application, and any future Moxy mobile applications (together, the "Service").

Moxy is a Business Management System that helps organizations manage calendars, attendance, finances, customers, contracts, employees, internal requests, projects, time tracking, and internal apps from one connected platform.

Access to the Moxy application requires an account. Customers are responsible for maintaining the confidentiality of credentials and for all activity that occurs under their organization's accounts.

Customers are responsible for the users they invite, the roles and permissions they assign, and the data they enter into Moxy. Customers must have appropriate authority and a valid legal basis to process personal data about employees, customers, suppliers, partners, and other individuals through the Service.

You agree not to:

• Use the Service unlawfully or in violation of any third-party rights
• Attempt to bypass security, authentication, or access controls
• Reverse engineer, decompile, or scrape the Service except as permitted by law
• Upload malware or interfere with the integrity or performance of the Service
• Use the Service to send unsolicited communications or abusive content

Pricing, subscription, payment, and any specific commercial terms may be agreed separately in writing between the customer and Spark Development SRL. Unless otherwise agreed in writing, no specific service-level agreement (SLA) applies.

Support is provided in accordance with the commercial agreement in place with the customer, or on a reasonable-effort basis where no separate agreement exists.

The Moxy software, brand, design, and related materials are owned by Spark Development SRL or its licensors. Customers retain ownership of and control over the data they enter into Moxy.

Each party will treat the other's non-public information disclosed in connection with the Service as confidential and use it only as needed to perform under these Terms or any related agreement.

Processing of personal data is described in our Privacy Policy and, for customer-controlled data, our Data Processing Agreement.

We may suspend access to the Service in case of abuse, security risk, breach of these Terms, or non-payment, where applicable.

Either party may terminate use of the Service in accordance with the applicable commercial agreement or, where none exists, with reasonable notice. Sections that by their nature should survive termination will do so.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, to the maximum extent permitted by applicable law.

To the maximum extent permitted by applicable law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue. Any aggregate liability is limited as set out in any applicable commercial agreement.

These Terms are governed by the laws of Romania, without regard to conflict-of-law rules. Disputes will be subject to the jurisdiction of the competent courts of Romania, unless otherwise required by mandatory law.
